Welcome to PixUp ("we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our image compression service located at https://pixupapp.com (the "Service"). By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using PixUp, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service. These Terms constitute a legally binding agreement between you and PixUp.

2. Service Description

PixUp provides the following services:

  • Image Compression: Reduce file sizes while maintaining visual quality
  • Format Conversion: Convert between WebP, AVIF, JPEG, PNG, HEIC, and other image formats
  • Client-Side Processing: Privacy-focused processing directly in your browser
  • Optional Server Processing: Advanced features for specific format conversions
  • Batch Processing: Process multiple images simultaneously
  • Quality Control: Adjustable compression settings and quality parameters

3. Service Level Agreement (SLA)

We strive to provide the following service levels:

  • Uptime Guarantee: 99.9% monthly uptime target (excluding scheduled maintenance)
  • Maintenance Windows: Sundays 2:00 AM - 4:00 AM EST
  • Response Time: Customer support responses within 24 hours
  • Processing Speed: Most images processed within 10 seconds
  • Service Availability: 24/7 access with exception of maintenance periods

4. Permitted Uses

You may use PixUp for the following purposes:

  • Personal Use: Compress images for personal projects and websites
  • Commercial Use: Optimize images for business websites and applications
  • Client Work: Process images for client projects and deliverables
  • Educational Purposes: Learn about image compression and optimization techniques
  • Testing & Development: Test image optimization for web development projects
  • Research: Academic or commercial research on image processing

5. Prohibited Uses

You may not use PixUp for any of the following:

  • Illegal Activities: Process images that violate any applicable laws or regulations
  • Copyright Infringement: Process copyrighted material without proper authorization
  • Malicious Content: Process images containing malware, viruses, or harmful code
  • Explicit Content: Process adult content, violence, or hate speech materials
  • Automated Abuse: Use automated scripts, bots, or scrapers to overwhelm our service
  • Reverse Engineering: Attempt to reverse engineer our algorithms or proprietary technology
  • Competitive Analysis: Use our service to analyze or replicate our technology

6. Intellectual Property Rights

Regarding intellectual property:

  • Your Content: You retain all rights, title, and interest in images you process through PixUp
  • Service Rights: PixUp retains all rights to our software, algorithms, and proprietary technology
  • Trademarks: "PixUp," our logo, and service names are trademarks of PixUp
  • Open Source: We use open-source libraries with appropriate licenses and attributions
  • No License Grant: We do not grant any rights to our intellectual property except as expressly stated

7. Privacy and Data Protection

Your privacy is protected under our Privacy Policy, which is incorporated by reference into these Terms. Key privacy protections include client-side processing by default, no collection of personal information without consent, and secure handling of any optional server processing. By using our Service, you consent to the data practices described in our Privacy Policy.

8. Payment Terms

Currently, PixUp is offered as a free service. We reserve the right to introduce premium features or paid plans in the future. Any paid services will be clearly marked, and you will be required to provide explicit consent before any charges are incurred. All payments will be processed through secure payment processors.

9. Refund Policy

Since PixUp is currently offered as a free service, no refunds are applicable. Should we introduce paid services in the future, we will offer a 30-day money-back guarantee for new subscriptions, provided you have not used more than 10% of your allocated service capacity.

10. Limitation of Liability

To the fullest extent permitted by law:

  • No Liability: PixUp shall not be liable for any direct, indirect, incidental, special, or consequential damages
  • No Business Loss: We are not liable for lost profits, revenue, or business opportunities
  • No Data Loss: We are not responsible for any loss or corruption of your images or data
  • Service Interruption: We are not liable for service downtime or interruptions
  • Use at Your Risk: You use the service at your own risk and discretion
  • Backup Responsibility: You are solely responsible for backing up your original images

11. Indemnification

You agree to indemnify, defend, and hold harmless PixUp and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, expenses, and costs, including reasonable attorneys' fees, arising from or relating to your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

We will attempt to resolve any disputes informally:

  • Good Faith Negotiation: Both parties will attempt to resolve disputes through good faith negotiation within 30 days
  • Mediation: If negotiation fails, disputes will be resolved through mediation with a neutral third-party mediator
  • Arbitration: If mediation fails, disputes will be resolved through binding arbitration under American Arbitration Association rules
  • Location: All arbitration proceedings will be conducted in Delaware, USA
  • Costs: Each party bears its own costs unless otherwise determined by the arbitrator

13. Force Majeure

PixUp shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, labor strikes, government actions, or internet infrastructure failures.

14. Third-Party Services

Our Service may integrate with the following third-party services:

  • Cloud Hosting Providers: AWS, Google Cloud, or similar infrastructure services
  • Content Delivery Networks: Cloudflare, Fastly, or similar CDN services
  • Open Source Libraries: Image processing libraries with appropriate licenses
  • Browser APIs: Standard web browser APIs for client-side processing
  • No Third-Party Control: We are not responsible for third-party service policies or failures

15. Assignment and Transfer

You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including without limitation to any affiliate, or in connection with a merger, acquisition, sale of assets, or similar transaction.

16. Termination

We may terminate or suspend your access to PixUp immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service ceases immediately. All provisions of the Terms which by their nature should survive termination shall survive.

17. Waiver and Severability

No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced. If any provision of these Terms is found to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

18. Class Action Waiver

You agree that any dispute arising from or relating to these Terms shall be resolved individually, without resort to any form of class action, consolidated action, or representative proceeding. You expressly waive any right to participate in class actions against PixUp.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. We will provide notice of significant changes via email (if provided) or prominent website notice at least 30 days before the effective date. Your continued use of the Service constitutes acceptance of any modified Terms.

20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the federal or state courts located in Delaware, United States.

22. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other legal notices published on our website, constitute the entire agreement between you and PixUp regarding the use of our Service. These Terms supersede all prior agreements, understandings, and communications between us.
